This Builder Agreement supplements the Terms of Service. It applies each time you submit a product, service, prototype, codebase, automation, or other solution for UpSolve review. By submitting a solution and selecting the acceptance checkbox, you confirm that you are at least 18, have authority to bind the owner of the solution, and agree to this agreement and the Humanity Pledge.
You retain ownership of your solution and underlying intellectual property. You grant UpSolve a non-exclusive, worldwide, royalty-free license to access, run, copy, test, evaluate, document, and demonstrate the solution as reasonably required for verification, selection, and presentation under this agreement. You may revoke this license before selection by withdrawing the submission; doing so ends its eligibility.
You represent that the submission is accurate, functional as described, lawfully created and supplied, and does not infringe intellectual-property, privacy, contractual, or other rights. You must identify material third-party and open-source components, licenses, usage limits, security requirements, and ongoing costs. Do not submit real customer data, production credentials, malware, or secrets. Any test credentials must be temporary and revocable.
You will provide reasonable test access, setup instructions, sample data, and timely responses. UpSolve may test, reject, request changes, or stop evaluating a submission. Multiple builders may address the same problem. UpSolve may consider functionality, reliability, security, safety, usability, speed, maintainability, cost, and fit with demonstrated demand. Verification or selection is not a certification, endorsement, investment promise, or guarantee of customers or commercial success.
No equity or revenue share is due merely because you submit, are verified, or are considered. If UpSolve selects the solution as the winning product and elects to present or distribute it to the relevant UpSolve audience, the solution owner must grant UpSolve a fully diluted 2% ownership interest in the legal entity that owns and commercially operates the product, and a 30% share of revenue from sales attributable to customers acquired through UpSolve.
Before presentation, the parties will execute a definitive equity instrument and any required corporate approvals that record the grant, capitalization basis, class of interest, information rights, transfer terms, revenue-share calculation and remittance terms, and applicable law. UpSolve is not required to present the product until those documents are signed. If the builder does not control the product-owning entity or cannot lawfully grant the interest or revenue share, the solution is ineligible for presentation.
After the definitive equity documents are signed, you authorize UpSolve to identify the solution and builder, use supplied product names and marks, and present the solution to relevant members. You remain solely responsible for hosting, support, maintenance, security, customer relationships, pricing, regulatory compliance, taxes, and all promises made about the product.
Each party must use non-public technical, commercial, or access information received for evaluation only, protect it with reasonable care, and disclose it only to people who need it for that purpose. This does not cover information already public, independently developed, lawfully received without restriction, or required to be disclosed by law.
Your solution must be good for humanity - or at minimum, not bad for it. UpSolve may reject or remove a solution that creates material safety, privacy, security, deception, discrimination, abuse, or legal risks, regardless of technical quality or prior verification.
You participate as an independent builder. Nothing in this agreement creates employment, agency, partnership, fiduciary duty, exclusivity, or authority for either party to bind the other. You bear your own development costs unless a separate written agreement says otherwise.
You may withdraw an unselected submission. UpSolve may end review or revoke verification where information was inaccurate, the product materially changes, or legal or safety concerns arise. Provisions concerning ownership, confidentiality, liability, and signed equity instruments survive termination as applicable.
